Latitude Model Management, LLC Booking Agreement

These terms and conditions (the “Terms”) constitute an agreement between the booking party (“Client”) and Latitude Model Management (“Agency”), regarding the services provided.

ACCEPTANCE OF TERMS

Latitude Model Management connects models in various fields with clients seeking to hire them (the “Services”). These Terms form a binding legal agreement between Client and Latitude Model Management.

Use of the Services by models under the age of eighteen (18) must occur with the consent of a parent or legal guardian and in compliance with applicable child labor laws.

MODIFICATIONS

Latitude Model Management may modify these Terms, the Site, or the Services at any time. Continued use of the Services following any modifications constitutes acceptance of the revised Terms.

CLIENT RESPONSIBILITIES

Clients may view, cast, and book models through Latitude Model Management for legitimate commercial purposes.

If the Client is booking on behalf of a third party (“Ultimate Client”), the Client agrees that the Ultimate Client will comply with these Terms. The Client remains fully responsible for payment and compliance with this Agreement regardless of whether the Ultimate Client pays the Client.

REQUIRED BOOKING CONFIRMATION

No booking shall be valid unless confirmed in writing prior to the engagement.

The written booking confirmation must clearly specify all material terms of the engagement, including:

• Model compensation

• Agency commission

• Usage rights

• Territory

• Duration of usage

• Overtime terms

• Exclusivity (if applicable)

• Location of the engagement

• Expected working hours

• Any expenses or reimbursements

• Any deductions from model compensation

No fees, expenses, or deductions shall be taken from model compensation unless fully disclosed in writing prior to booking confirmation.

FEES & USAGE

Models have up to three (3) business days to accept or decline bookings unless otherwise agreed.

Standard rates apply for an eight-hour booking day unless otherwise negotiated.

Client shall pay the agreed model fee plus a twenty percent (20%) agency commission.

Overtime shall apply after eight consecutive hours of work. Overtime will be billed at one and one-half (1.5x) times the agreed hourly rate unless otherwise specified in writing prior to booking confirmation.

Portfolio Use

Portfolio use is permitted for personal and professional portfolios only unless otherwise agreed in writing.

Additional Usage

Additional usage rights including advertising, commercial campaigns, broadcast, digital media, or international distribution must be negotiated separately and may require additional fees.

Unauthorized use beyond the agreed usage terms is prohibited.

Fashion show bookings permit photography related to editorial reporting; any commercial or promotional usage must be negotiated separately.

PAYMENT TERMS

Invoices will be issued following booking confirmation or completion of services.

Payment terms are NET-15, unless otherwise agreed in writing.

Payments must be made via check, wire transfer, or another payment method approved by the Agency.

If the Client is invoicing an Ultimate Client, the booking Client remains fully responsible for payment regardless of whether the Ultimate Client pays the Client.

Failure to remit timely payment may result in interest charges of five percent (5%) per month or the maximum permitted by law.

Client acknowledges that delayed payment may expose Client to statutory penalties under applicable law and agrees to indemnify Latitude Model Management for any liability arising from Client’s failure to timely remit payment.

INTELLECTUAL PROPERTY

Client and Ultimate Client may not use images, video, or other content featuring the Model beyond the rights expressly granted in the written booking agreement.

Latitude Model Management and the Model retain the right to use materials for self-promotional or portfolio purposes unless otherwise restricted in writing.

Unauthorized exploitation or reproduction of images or services is prohibited.

AI & DIGITAL LIKENESS

Client may not create digital replicas of the Model, use the Model’s likeness for artificial intelligence training, alter the Model’s likeness using generative technologies, create synthetic derivatives, or use the Model’s voice, image, or likeness in any machine learning system without a separate written agreement agreed by the Model and negotiated compensation.

CANCELLATION POLICY

If Latitude Model Management cancels a secured booking, the Client will receive a refund of any payments made.

Unsecured bookings may be canceled by the Agency without liability.

Client cancellations require at least five (5) business days’ notice to avoid cancellation fees. Late cancellations may result in charges of up to one hundred percent (100%) of the booking fee.

TRAVEL EXPENSES

All confirmed travel expenses including flights, accommodations, ground transportation, or per diem shall be reimbursed by the Client if such expenses are non-refundable.

FORCE MAJEURE

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control including severe weather, natural disasters, labor strikes, government restrictions, terrorism, or public health emergencies.

Affected bookings should be rescheduled in good faith where possible.

MODEL CARE & SAFE WORKPLACE REQUIREMENTS

Client agrees to provide a safe, professional, and respectful working environment.

For bookings exceeding four (4) hours, Client must provide appropriate meal breaks.

Clients must also provide:

• reasonable rest breaks

• private changing areas when wardrobe changes are required

• safe working conditions

Models must be treated professionally and respectfully at all times.

Client shall maintain a workplace free from harassment, discrimination, and retaliation in compliance with all applicable federal, state, and local laws.

Models may bring a chaperone, parent, guardian, or representative to bookings where reasonably necessary.

Failure to provide a safe and respectful working environment shall constitute a material breach of this Agreement.

TRANSPARENCY & DISCLOSURE

Client must provide accurate and complete information regarding the nature of the work prior to booking confirmation, including:

• the nature of the project

• wardrobe or styling requirements

• expected working conditions

• location of the engagement

• intended use of images or video

Models must not be misled regarding the nature of the work.

REPRESENTATIONS & WARRANTIES

Client represents that they have the legal authority to enter into this Agreement and will comply with all applicable laws and regulations.

INDEMNIFICATION

Client agrees to indemnify and hold harmless Latitude Model Management and its representatives against any claims, damages, losses, or liabilities arising from:

• Client’s breach of these Terms

• misuse of Model likeness or images

• failure to comply with applicable laws

• delayed or withheld payments

DISPUTE RESOLUTION & ARBITRATION

Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in New York.

The parties agree to waive their right to a trial by jury. The decision of the arbitrator shall be final and binding.

CONTRACT & AUTHORITY

All Model engagements must be booked through Latitude Model Management. Direct negotiation or booking of models introduced through the Agency outside of Latitude Model Management is prohibited.

LIABILITY DISCLAIMER

Latitude Model Management acts solely as an intermediary connecting Clients with Models.

The Agency does not control the conduct of Models or Clients and shall not be responsible for actions occurring during bookings. Clients are responsible for securing appropriate insurance coverage for productions or events.

The Services are provided “as is” without warranty, and liability for losses related to bookings remains with the Client.

By using Latitude Model Management’s Services, the Client agrees to these Terms.
